Terms and Conditions

1. Definitions

• "Services" — consulting, design, development, integration, hosting setup, maintenance, support, and related IT work.
• "Products" — software, SaaS subscriptions, templates, and digital goods we offer or license.
• "E-commerce" — online sale of physical or digital goods, carts, checkout, and fulfillment workflows we operate or build for you.
• "Payment Gateway" — third-party PCI-compliant provider that processes card, UPI, net-banking, wallet, or similar payments.
• "You" — visitor, client, buyer, or authorized user.

2. Eligibility and accounts

You must be at least 18 years old and capable of entering a binding contract. You are responsible for accurate registration information and safeguarding account credentials. Notify us immediately of unauthorized access.

3. Service-based engagements

• Scope, timelines, milestones, and fees are defined in proposals, invoices, or signed agreements.
• Client materials must not infringe third-party rights or violate law. You grant us a license to use submitted materials solely to perform the engagement.
• Change requests may affect cost and schedule. Delays caused by missing approvals, content, or access may extend timelines.
• Unless otherwise agreed, deliverables are deemed accepted if no written rejection is received within 7 business days of delivery.

4. Software, SaaS, and digital products

• Products are licensed, not sold, unless explicitly stated. License scope (users, domains, duration) is stated at purchase or in a license agreement.
• Reverse engineering, redistribution, or reselling except as permitted is prohibited.
• We may update, patch, or discontinue features; critical security updates may be applied without notice.
• Demo and preview environments use sample data only; production use requires a valid license or contract.

5. E-commerce terms

• Product descriptions, pricing, taxes, and availability are shown at checkout or in your order confirmation. We may correct obvious errors and cancel affected orders with a refund where payment was captured.
• Physical goods: shipping times and costs are disclosed at checkout. Risk of loss passes per carrier terms unless otherwise stated.
• Digital goods: delivery may be instant via download, license key, or account activation. Certain digital sales may be non-refundable once delivered, except where law requires otherwise.
• You must provide lawful shipping and billing information. We may refuse or cancel orders suspected of fraud or policy violation.

6. Payments and payment gateways

• Prices are in the currency shown at checkout unless stated otherwise. Applicable GST or other taxes may apply for Indian transactions.
• Payments are processed by authorized payment gateways. By paying, you also agree to the gateway's terms and privacy policy.
• We do not store full card credentials on our servers. Failed or disputed transactions are handled per gateway and banking rules.
• You authorize us and our payment partners to charge the selected payment method for orders, subscriptions, renewals, and agreed service fees.

7. Refunds, cancellations, and chargebacks

• Custom services: fees for work already performed are non-refundable unless agreed in writing. Deposits may be non-refundable after project kick-off.
• SaaS / subscriptions: cancellation stops future billing; refunds for partial periods are at our discretion unless mandated by law or a stated refund policy.
• E-commerce: return and refund windows follow the policy displayed for that product or Indian consumer rules where applicable.
• Chargebacks without contacting support first may result in account suspension and recovery of costs permitted by law.

8. Acceptable use

You may not use our services for unlawful activity, malware, spam, harassment, payment fraud, or infringement. We may suspend or terminate access for violations.

9. Intellectual property

We retain ownership of our pre-existing tools, frameworks, and brand assets. Upon full payment, client-specific deliverables transfer as stated in the project agreement (often client ownership of custom work product, with our retention of generic know-how and reusable components). Our product names, logos, and marketing content remain our property.

10. Confidentiality and NDA

Mutual confidentiality applies to non-public business and technical information shared during engagements. Separate NDAs may supersede this section.

11. Disclaimers

Services and products are provided "as is" and "as available" except where a written warranty applies. We do not guarantee uninterrupted or error-free operation, specific business results, or third-party gateway uptime. Demos and previews are illustrative only.

12. Limitation of liability

To the maximum extent permitted by law, Vani Technologies shall not be liable for indirect, incidental, special, or consequential damages. Our aggregate liability for any claim arising from these Terms shall not exceed the amount you paid us for the specific service or product giving rise to the claim in the twelve (12) months before the claim, or INR 10,000, whichever is greater, unless a higher limit is agreed in writing.

13. Indemnity

You agree to indemnify and hold us harmless from claims arising from your content, misuse of services, violation of these Terms, or infringement of third-party rights.

14. Governing law and disputes

These Terms are governed by the laws of India. Courts at a competent jurisdiction in India shall have exclusive jurisdiction, subject to mandatory consumer protection forums where applicable. We encourage good-faith resolution via support@vanitechnologies.in before litigation.

15. Changes and contact

We may update these Terms; continued use after the updated date constitutes acceptance. Material changes may be posted on this page.
